These Terms and Conditions ("Terms") govern your access to and use of the website www.universaljets.aero (the "Website") and all services provided by Universal Jets Aviation Brokerage FZCO ("Universal Jets," "we," "us," or "our"), a company incorporated in the Dubai International Financial Centre (DIFC), United Arab Emirates. By accessing the Website or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of the Website and our services immediately.

1. DEFINITIONS & INTERPRETATION

"Aircraft Operator" means the holder of a valid Air Operator Certificate (AOC) who operates the aircraft under the applicable charter or lease agreement.

"Booking Confirmation" means the written confirmation issued by Universal Jets upon acceptance of a charter request, specifying the aircraft, route, schedule, and pricing.

"Broker" means Universal Jets Aviation Brokerage FZCO, acting as an intermediary between the Client and the Aircraft Operator.

"Charter Agreement" means the contract between the Client and the Aircraft Operator (or Universal Jets as broker) for the provision of air charter services.

"Charter Price" means the total price quoted for the charter service, inclusive of all specified charges, fees, and taxes.

"DCAA" means the Dubai Civil Aviation Authority, the regulatory authority governing civil aviation in Dubai.

"Empty Leg" means a repositioning flight where the aircraft is flying without passengers, offered at a reduced rate.

"Force Majeure" means any event beyond the reasonable control of either party, including but not limited to acts of God, war, terrorism, pandemics, government action, natural disasters, strikes, or airport closures.

"Jet Card" means a pre-paid flight hour programme offered by Universal Jets under separate Jet Card Terms and Conditions.

"Membership" means enrolment in the Universal Jets Membership Programme under separate Membership Terms and Conditions.

"Quote" means a non-binding price estimate provided by Universal Jets for a proposed charter service, valid for the period stated therein.

"Services" means all services provided by Universal Jets, including but not limited to air charter brokerage, concierge services, membership programmes, jet card programmes, ACMI leasing, and related ancillary services.

2. ROLE OF UNIVERSAL JETS

Universal Jets acts as an air charter broker, not as an aircraft operator. We arrange air charter services on behalf of our Clients with licensed Aircraft Operators. Universal Jets does not own, operate, maintain, or control any aircraft.

All flights arranged through Universal Jets are operated by Aircraft Operators holding valid Air Operator Certificates (AOCs) issued by the relevant civil aviation authority of their state of registration. Universal Jets conducts due diligence on all Aircraft Operators, including verification of AOC status, insurance coverage, safety records, and regulatory compliance.

The contractual relationship for the carriage of passengers and/or cargo is between the Client and the Aircraft Operator. Universal Jets facilitates this relationship and acts in the Client's best interest to secure appropriate aircraft, competitive pricing, and satisfactory service levels.

Universal Jets is licensed by the Dubai Civil Aviation Authority (DCAA) as an air charter broker and complies with all applicable UAE aviation regulations.

3. QUOTATIONS & BOOKING

3.1 Quotations

All quotations provided by Universal Jets are estimates based on information available at the time of quoting. Quotations are non-binding and subject to aircraft availability, route permissions, and operator confirmation.

Quotations are valid for the period stated therein (typically 24 to 72 hours). After expiry, Universal Jets reserves the right to revise the Charter Price to reflect current market conditions.

Quoted prices include the base charter fee, crew costs, and standard airport charges unless otherwise stated. Additional charges that may apply include but are not limited to: fuel surcharges, de-icing, war-risk insurance, catering, ground transportation, overnight crew expenses, landing permits, overflight permits, and handling fees.

3.2 Booking Process

A booking is confirmed only upon: (a) the Client's written acceptance of the quotation; (b) receipt of the required deposit or full payment as specified; and (c) written confirmation from Universal Jets that the aircraft and operator have been secured.

Universal Jets reserves the right to decline any booking request at its sole discretion without providing reasons.

3.3 Aircraft Substitution

Universal Jets and/or the Aircraft Operator reserve the right to substitute the specified aircraft with an aircraft of equivalent or superior category if the original aircraft becomes unavailable due to maintenance, operational requirements, or other circumstances. The Client shall be notified of any substitution as soon as practicable. If the substitute aircraft is of a lower category, the Client shall be entitled to a proportionate price reduction or cancellation without penalty.

4. PAYMENT TERMS

4.1 Payment Schedule

Unless otherwise agreed in writing, full payment of the Charter Price is required no later than seventy-two (72) hours prior to the scheduled departure time. For bookings made within 72 hours of departure, full payment is required immediately upon booking confirmation.

Payment may be made by wire transfer to the bank account specified on the invoice. Universal Jets may, at its discretion, accept payment by credit card, subject to a processing surcharge.

4.2 Currency

All prices are quoted in the currency specified on the quotation (typically USD, EUR, GBP, or AED). Currency conversion, if applicable, shall be at the prevailing market rate on the date of payment. Any exchange rate fluctuation risk is borne by the Client.

4.3 Late Payment

Late payments shall accrue interest at a rate of five percent (5%) per annum above the base rate of the Central Bank of the UAE, calculated daily from the due date until the date of actual payment. Universal Jets reserves the right to suspend or cancel services if payment is not received by the due date.

4.4 Additional Charges

Any additional costs incurred during or after the flight that were not included in the original quotation (including but not limited to extended waiting time, additional fuel, diversions, catering upgrades, or regulatory surcharges) shall be invoiced separately and are payable within fourteen (14) days of the invoice date.

5. CANCELLATION & REFUND POLICY

5.1 Client Cancellation

Cancellations must be communicated in writing to Universal Jets. The following cancellation fees apply based on the time of cancellation relative to the scheduled departure:

Cancellation fees reflect the actual costs and commitments incurred by Universal Jets and the Aircraft Operator. Refunds, where applicable, shall be processed within thirty (30) business days.

5.2 Operator / Universal Jets Cancellation

If Universal Jets or the Aircraft Operator cancels a confirmed booking for reasons other than Force Majeure, the Client shall receive a full refund of all amounts paid. Universal Jets shall use reasonable endeavours to arrange an alternative aircraft of equivalent or superior category. Universal Jets' liability in such cases is limited to the refund of amounts paid and shall not extend to consequential losses, alternative travel costs, or damages.

5.3 Empty Leg Cancellations

Empty Leg flights are subject to cancellation or schedule changes at any time due to the nature of repositioning flights. If an Empty Leg flight is cancelled by the operator, the Client shall receive a full refund. No compensation for alternative travel arrangements shall be payable.

6. PASSENGER OBLIGATIONS

The Client and all passengers shall:

  • Hold valid passports, visas, and all travel documents required for the journey, including transit points
  • Comply with all applicable customs, immigration, and security regulations at all airports
  • Arrive at the designated departure point at the time specified in the Flight Brief (typically 15 minutes before departure for private terminals)
  • Comply with all instructions from the flight crew regarding safety, conduct, and baggage
  • Not carry prohibited items, weapons, illegal substances, or undeclared dangerous goods
  • Not engage in behaviour that is abusive, threatening, or disruptive to the crew or other passengers
  • Provide accurate passenger manifests, including full legal names, dates of birth, passport numbers, and nationalities, at least 48 hours before departure

Universal Jets and the Aircraft Operator reserve the right to refuse carriage to any passenger who fails to comply with these obligations, is intoxicated, or whose conduct poses a risk to safety. No refund shall be payable in such circumstances.

The Client shall be liable for any damage caused to the aircraft, its furnishings, or equipment by the Client or any passenger during the flight.

7. BAGGAGE & CARGO

Baggage allowances are determined by the aircraft type and shall be communicated in the Flight Brief. Excess baggage may be refused at the Captain's discretion for safety reasons. Universal Jets shall not be liable for loss of or damage to baggage or personal effects unless caused by the gross negligence of the Aircraft Operator.

Passengers travelling with pets must declare this at the time of booking. Pet carriage is subject to aircraft suitability, operator approval, and compliance with the animal import/export regulations of the departure, transit, and destination countries. Additional cleaning fees may apply.

For cargo charter services, the Client is responsible for providing accurate cargo manifests, ensuring proper packaging, and obtaining all necessary export/import licences and customs documentation. Dangerous goods must be declared and handled in accordance with IATA Dangerous Goods Regulations.

8. INSURANCE & LIABILITY

8.1 Operator Insurance

All Aircraft Operators engaged by Universal Jets are required to maintain comprehensive aviation insurance, including: aircraft hull all-risks insurance; passenger liability insurance meeting or exceeding the requirements of the Montreal Convention; third-party liability insurance; and crew personal accident insurance.

8.2 Limitation of Liability

Universal Jets acts as a broker and intermediary. Our liability is limited to the brokerage services we provide. We shall not be liable for:

  • Acts, omissions, negligence, or defaults of the Aircraft Operator, its crew, or agents
  • Delays, diversions, or cancellations caused by weather, air traffic control, technical issues, or regulatory requirements
  • Loss of or damage to baggage, cargo, or personal effects
  • Personal injury or death (which is the responsibility of the Aircraft Operator under applicable aviation law)
  • Any indirect, consequential, special, or punitive damages, including loss of profits, business interruption, or loss of opportunity

8.3 Maximum Liability

In any event, Universal Jets' total aggregate liability to the Client under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total brokerage fees paid by the Client for the specific transaction giving rise to the claim.

8.4 Client Insurance

Universal Jets strongly recommends that all Clients obtain comprehensive travel insurance covering trip cancellation, medical emergencies, personal effects, and third-party liability. Universal Jets does not provide travel insurance and shall not be liable for any losses that would have been covered by such insurance.

9. FORCE MAJEURE

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from a Force Majeure Event. Force Majeure Events include but are not limited to: acts of God, war, armed conflict, terrorism, civil unrest, pandemics, epidemics, government sanctions or restrictions, airport closures, airspace closures, volcanic eruptions, severe weather conditions, strikes, industrial action, and any other event beyond the reasonable control of the affected party.

In the event of a Force Majeure Event, Universal Jets shall use reasonable endeavours to arrange alternative transportation or reschedule the flight. If the flight cannot be operated, the Client shall be entitled to a refund of amounts paid, less any irrecoverable costs already incurred by Universal Jets or the Aircraft Operator.

10. MEDICAL EVACUATION & EMERGENCY SERVICES

Medical evacuation and air ambulance services are arranged with specialist medical aviation operators. These services are subject to separate medical transport terms and conditions provided by the medical operator.

Universal Jets does not provide medical advice or medical personnel. All medical decisions, including fitness to fly assessments, are the responsibility of the Client's medical team and the medical operator's medical director.

The Client acknowledges that medical evacuation flights may be subject to last-minute changes due to the patient's medical condition, regulatory requirements, or operational constraints. Universal Jets shall not be liable for any adverse medical outcomes.

11. ACMI LEASING

Aircraft, Crew, Maintenance, and Insurance (ACMI) lease arrangements are governed by separate ACMI Lease Agreements. These Terms apply to the brokerage of ACMI leases to the extent not inconsistent with the specific ACMI Lease Agreement.

Universal Jets acts as broker in ACMI transactions, connecting lessees with aircraft lessors. The ACMI Lease Agreement is between the lessee and the lessor/operator. Universal Jets' role is limited to facilitating the transaction and does not extend to the operational management of the leased aircraft.

12. WEBSITE USE

12.1 Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, images, software, and design elements, is the property of Universal Jets or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Website without our prior written consent.

12.2 User Accounts

Certain features of the Website require registration and the creation of a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Universal Jets immediately of any unauthorised use of your account.

12.3 Prohibited Conduct

You shall not: (a) use the Website for any unlawful purpose; (b) attempt to gain unauthorised access to any part of the Website or its systems; (c) introduce viruses, malware, or other harmful code; (d) scrape, crawl, or harvest data from the Website without authorisation; (e) impersonate any person or entity; or (f) use the Website to transmit unsolicited commercial communications.

12.4 Third-Party Links

The Website may contain links to third-party websites. Universal Jets does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk.

13. CONFIDENTIALITY

Both parties agree to keep confidential all information received from the other party that is designated as confidential or that reasonably should be understood to be confidential. This includes but is not limited to: pricing information, client lists, travel itineraries, passenger details, and business strategies.

This obligation of confidentiality shall survive the termination of any agreement between the parties for a period of five (5) years.

Universal Jets takes the privacy of its Clients extremely seriously. We shall not disclose your identity, travel plans, or personal information to any third party except as required to fulfil our services or as required by law.

14. DATA PROTECTION

Universal Jets processes personal data in accordance with our Privacy Policy, which forms part of these Terms. By using our Services, you consent to the collection, processing, and storage of your personal data as described in the Privacy Policy.

We comply with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, the General Data Protection Regulation (GDPR) where applicable, and other relevant data protection legislation.

15. ANTI-MONEY LAUNDERING & SANCTIONS

Universal Jets complies with all applicable anti-money laundering (AML) and counter-terrorism financing (CTF) regulations, including UAE Federal Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism.

We reserve the right to conduct due diligence on all Clients, including identity verification and source of funds checks. We may refuse to provide services or terminate an existing relationship if we have reasonable grounds to suspect that a transaction involves the proceeds of crime, money laundering, or terrorism financing.

Universal Jets does not provide services to individuals or entities subject to international sanctions, including those imposed by the United Nations, the European Union, the United States (OFAC), or the UAE.

16. COMPLAINTS & DISPUTE RESOLUTION

16.1 Complaints

Any complaints regarding our Services should be submitted in writing to [email protected] within thirty (30) days of the event giving rise to the complaint. Universal Jets shall acknowledge receipt within five (5) business days and provide a substantive response within thirty (30) business days.

16.2 Mediation

In the event of a dispute that cannot be resolved through direct negotiation, the parties agree to first attempt resolution through mediation administered by the Dubai International Arbitration Centre (DIAC) before commencing formal arbitration proceedings.

16.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules. The seat of arbitration shall be Dubai, UAE. The language of the arbitration shall be English. The arbitral tribunal shall consist of a sole arbitrator.

17. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and, where applicable, the federal laws of the UAE.

Subject to the arbitration clause above, the courts of Dubai, UAE shall have exclusive jurisdiction over any legal proceedings arising out of or in connection with these Terms.

For international flights, the liability of the Aircraft Operator for personal injury and death is governed by the Montreal Convention of 1999 (or the Warsaw Convention of 1929, as applicable), regardless of the governing law of these Terms.

18. INDEMNIFICATION

The Client agrees to indemnify, defend, and hold harmless Universal Jets, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • The Client's breach of these Terms
  • The Client's or any passenger's violation of applicable laws or regulations
  • Any damage to the aircraft or its equipment caused by the Client or passengers
  • Any claim by a third party arising from the Client's use of our Services
  • Inaccurate or incomplete information provided by the Client

19. SEVERABILITY & WAIVER

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

No failure or delay by Universal Jets in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A single or partial exercise of any right shall not preclude any further exercise of the same or any other right.

20. ENTIRE AGREEMENT & AMENDMENTS

These Terms, together with any applicable Charter Agreement, Membership Agreement, Jet Card Agreement, ACMI Lease Agreement, and Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, understandings, and representations.

Universal Jets reserves the right to amend these Terms at any time by publishing the revised version on the Website. The "Last Updated" date at the top of this page indicates the most recent revision. Your continued use of the Website or our Services after any amendment constitutes your acceptance of the revised Terms.

Material changes to these Terms shall be communicated to registered users via email or through a prominent notice on the Website.
